The Road-Smarts package currently offers road conditions, accident reports, lane and road closure information in real-time from many different sources for the entire state of Florida. Road-Smarts gives you the ability to access this information any time of day or night from any place using almost any web/Internet enabled cell phone or PDA.

The price for the Road-Smarts traffic information delivery service is only $6.95 per month with a twelve month service agreement.

There is no software to download and all updates and enhancements are taken care of quietly in the background. As new geographical areas are added to Road-Smarts and more traffic data sources are made available, you will find them automatically added to your list of available selections.

Welcome to Road-Smarts.com Traveler Information Service (the "Service").

PLEASE READ THIS USER AGREEMENT CAREFULLY BEFORE SUBSCRIBING TO OR USING THIS SERVICE.  BY SUBSCRIBING TO OR USING THIS SERVICE YOU ARE AGREEING TO THE TERM AND CONDITIONS EXPRESSED HEREIN.

Authority
BY ACCESSING, SUBSCRIBING, DOWNLOADING AND/OR OTHERWISE USING THE ROAD-SMARTS.COM TECHNOLOGY, YOU:
  (I) CERTIFY THAT YOU ARE AT LEAST 18 YEARS OF AGE, AND THAT, IF YOU ARE ACTING ON BEHALF OF ANY PERSON OR ENTITY, YOU ARE AUTHORIZED TO ACT ON BEHALF OF SUCH PARTY;
  (II) HAVE READ THIS AGREEMENT AND HAVE AGREED TO BE LEGALLY BOUND BY THIS AGREEMENT; AND
  (III) AGREE TO ALL OPERATING RULES AND POLICIES OF ROAD-SMARTS.COM THAT MAY BE PUBLISHED WITHIN THE ROAD-SMARTS.COM TECHNOLOGY OR ON THIS ROAD-SMARTS.COM SITE.

This ("Service") is owned and operated by Full-Duplex Communications Inc.   By using the Service, you are agreeing to terms and conditions that constitute a binding agreement (the "Agreement") between you, and Full-Duplex Communications and Road-Smarts.com.  If you do not agree to these terms, please do not use the service.  You may be referred to as "User" in this Agreement.  The terms of this Agreement apply to all Users.  Road-Smarts reserves the right, at their discretion, to change, modify, add, or remove portions of this Agreement at any time.  Notification of changes to this Agreement will be posted on the Road-Smarts.com website.  If any future changes to this Agreement are unacceptable to you, or cause you to no longer be in compliance with this Agreement, you may discontinue use of the Road-Smarts.com Service.  Your continued use of the Service following the posting of a notice of changes to this Agreement represents your acceptance of those changes.  Road-Smarts.com reserve the right, at their discretion, to change, modify, suspend, or discontinue any aspect of the Road-Smarts.com Services at any time, including, without limitation, the availability of any feature, database, content, hours of availability or equipment needed to access the Service.  Road-Smarts.com may also impose limits on certain features or restrict access to parts or all of the Service without pre-existing notice or ensuing liability.  The User is solely responsible for and must provide all telephone, cell phone, PDA equipment, airtime and internet service provider charges and other equipment necessary to access the Service, including without limitation, an Internet connection, computing hardware, and modems, if necessary.  User shall be responsible for obtaining access to the Road-Smarts.com Technology and for all equipment necessary to access the Road-Smarts.com Service and you acknowledge that obtaining the foregoing may involve third-party fees (such as internet service provider or airtime charges). Users are responsible for all charges associated with connecting to the Road-Smarts.com.

Restrictions on Use of Materials
The information presented on Road-Smart pages are in the public domain, unless specifically annotated otherwise, and may be used freely by the public.  Before using information obtained from any Road-Smarts page, special attention should be given to the date & time of the data and products being displayed.
The user assumes the entire risk related to its use of this data.  Road-Smarts is providing this data "as is," and Road-Smarts disclaims any and all warranties, whether express or implied, including (without limitation) any implied warranties of merchantability or fitness for a particular purpose.  In no event will Road-Smarts be liable to you or to any third party for any direct, indirect, incidental, consequential, special or exemplary damages or lost profit resulting from any use or misuse of this data.
Any reference from Road-Smarts Web page service to any other entity, product, service or information does not constitute an endorsement or recommendation by the Road-Smarts or any of its' related organizations or employees. We are not responsible for the contents of any "off-site" Web pages referenced from Road-Smarts Web pages.
Road-Smarts.com is pleased to hear from our Users and welcome your comments regarding the Service.  Once submitted, all questions, comments, ideas or other suggestions become the exclusive property of Road-Smarts.com in full, and you will be deemed to have assigned to Road-Smarts.com any and all intellectual property rights, privacy rights, publicity rights, rights of authorship, or other applicable "moral rights" by virtue of your having transmitted such questions, comments, ideas or other suggestions to Road-Smarts.com

Passwords and Your Obligations
You may be asked to register as a member on certain pages or services within Road-Smarts.com and to select a unique username and password in order to be able to access your account and use any of the Road-Smarts.com Technology.  As a registered member, you are responsible for maintaining the confidentiality and security of your username and password and shall be responsible for all uses of your username and password, including, but not limited to, any purchases facilitated through the use thereof, whether or not in fact authorized by you.  You agree to immediately notify Road-Smarts.com in writing of any breach of security, including, without limitation, unauthorized use of your username or password.  If you permit any person to use your username and password, you may be liable for all activity and transactions made by that person including transactions for which you may not have intended to be liable.

Representation and Warranties
By using this service you represent, warrant, and covenant (a) that you will not, through your use of this service (i) violate, plagiarize, or infringe upon the rights of any third party, including but not limited to, copyright, trademark, privacy or other personal or proprietary rights; (ii) that you will not access or disseminate libelous or otherwise unlawful material; (iii) submit false or inaccurate material to the Service; or (iv) submit information that might contain illegal, offensive, or otherwise inappropriate information; and (b) that you will otherwise fully comply with the terms of this Agreement.  You, hereby indemnify, and hold Road-Smarts.com and its member organizations parent and affiliated companies, and all officers, directors, owners, agents, information providers, affiliates, licensors, and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liabilities and costs (including, without limitation, reasonable attorneys' fees) incurred by the Indemnified Parties, or any of them, in connection with any claim arising out of any breach by you or any User on or user of your Account, oaths Agreement or of the foregoing representations, warranties, and covenants.  Notwithstanding the foregoing, Road-Smarts.com cannot and will not actively monitor and/or regulate the Content of the Service.

DISCLAIMER OF WARRANTY
Full-Duplex Communications, Inc. uses reasonable efforts to make available accurate, digital information, you assume total responsibility and risk for use of this Web Site. Access to the Road-Smarts Web Site is provided to our customers and prospective customers "AS IS" and "AS AVAILABLE" and without warranty of any kind, whether expressed or implied, INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NONINFRINGEMENT. Full-Duplex Communications, Inc. further does not warrant the accuracy, completeness, or timeliness of the materials at this Web Site. Full-Duplex Communications, Inc. may make changes to the materials at this Web Site, or to the products or services described in them, at any time without notice. The materials at this Web Site may be out of date. Information published on this Web Site may refer to products, programs or services that are not available in your area or country.Some jurisdictions do not allow the disclaimer of implied warranties. Miscellaneous
Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties.  Neither party has any authority to make or accept any offers or representations on the other party's behalf. The User will not make any statement that reasonably would contradict anything in this provision.  This Agreement is the sole and entire Agreement between Road-Smarts.com and the User with respect to the Service and use thereof.  The User may not change or waive any of the provisions oaths Agreement.  Road-Smarts.com may amend or modify this Agreement or impose new conditions at any time upon notice as published through the Service.  Any use of the Service by you after such notice shall be deemed to constitute acceptance of such amendments, modifications, or new conditions.  If Road-Smarts.com is unable to perform any obligations under this Agreement or to provide the material benefits of the Service because of natural disaster, fire, acts of God, or actions or decrees of governmental bodies, Road-Smarts.com shall give notice to User, if appropriate, and do everything possible to resume performance.  Upon the occurrence of any such event, all obligations of Road-Smarts.com under this Agreement will be immediately suspended.  This Agreement is governed by the laws of the State of Florida without reference to rules governing choice of laws.  Any action relating to this Agreement must be brought in the State of Florida, and both parties irrevocably consent to the jurisdiction of the State and Federal courts located in Florida.  Failure to enforce strict performance of any provision of this Agreement will not constitute a waiver of the right to subsequently enforce such provision or any other provision of this Agreement. YOU acknowledge that you have read this agreement and agree to all its terms and conditions. The User understands that Road-Smarts.com may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement.  The User has independently evaluated the desirability of participating in the program and is not relying on any representation, guarantee, or statement other than as set forth in this agreement.
